1. Who we are

These Terms & Conditions (“Terms”) govern your use of bage-ai.com (the “Website”) and of the products and services offered by B.A.G.E. AI L.L.C., 30 N Gould St Ste N, Sheridan, WY 82801, United States (“BAGE AI”, “we”, “us”). We are a limited liability company registered in Wyoming. Our products are offered under their own brand names, including “AC Booked”, which is a brand of B.A.G.E. AI L.L.C. All references to BAGE AI in these Terms include those brands.

2. Acceptance of these Terms

By accessing the Website, submitting a form, or using our services, you agree to these Terms. If you do not agree, please do not use the Website or our services. If you use our services on behalf of a company, you confirm that you are authorized to bind that company.

3. Our services

BAGE AI develops and operates AI-based software for businesses, including voice and messaging automation. The scope, pricing and specific terms of a paid service are set out in the applicable order form, proposal or written agreement. Where such an agreement conflicts with these Terms, the agreement prevails.

4. Business use only

Our services are intended for business customers. By using them you confirm that you are acting in a business capacity and are at least 18 years old.

5. Calls and text messages (SMS)

Consent. We contact individuals by phone or SMS only where we have a lawful basis to do so, such as a request you submitted to us, an existing business relationship, or your express consent. By providing your mobile number and opting in, for example through a form on our Website, in a conversation with us, or in writing, you agree to receive calls and text messages from BAGE AI related to your request, appointments, service updates and support. Consent to marketing messages is not a condition of any purchase.

AI voice and call recording. Some calls are placed or handled with AI voice technology. Calls may be recorded and transcribed for quality, documentation and compliance purposes, and you will be informed at the start of the call that it is being recorded. If you do not want a call to be recorded, tell us at the start of the call or end it.

Message frequency. Message frequency varies depending on your interaction with us.

Costs. Message and data rates may apply according to your mobile carrier plan. We do not charge for messages, but your carrier may.

Opt-out. You can stop receiving text messages at any time by replying STOP to any message. You will receive one confirmation message, and no further messages will be sent unless you opt in again. To stop calls, tell us during the call or email info@bage-ai.com.

Help. Reply HELP to any message or contact us at info@bage-ai.com or +1 307 296 4829.

Carriers. Wireless carriers are not liable for delayed or undelivered messages. Availability depends on your carrier and coverage.

Privacy. Mobile numbers and opt-in data are not shared with third parties or affiliates for their own marketing purposes. Details on how we handle personal data are in our Privacy page.

Where our customers use our services to contact their own contacts, the customer is responsible for having obtained all consents and for complying with applicable laws, including the Telephone Consumer Protection Act (TCPA) and comparable regulations.

6. Acceptable use

You agree not to:

  • use the Website or services unlawfully, or to send spam, unsolicited or deceptive communications;
  • contact people without the consent or other legal basis required by applicable law;
  • interfere with, probe or overload our systems, or attempt to gain unauthorized access;
  • reverse engineer, copy or resell our software except as expressly permitted in writing;
  • upload or transmit unlawful, infringing, harassing or malicious content.

We may suspend or terminate access if we reasonably believe these rules are violated.

7. Intellectual property

The Website, the software, brand names, logos and all related content are owned by BAGE AI or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use our services for your internal business purposes in accordance with these Terms. No other rights are granted.

8. Your content and data

You retain ownership of the content and data you submit. You grant us the limited right to process it as necessary to provide and improve the services and to comply with legal obligations. You are responsible for the lawfulness of the content and data you provide.

9. AI-generated output

Our services use artificial intelligence. Output may be incomplete or inaccurate and does not constitute legal, financial, medical or other professional advice. You are responsible for reviewing output before relying on it.

10. Third-party services

Our services may rely on third-party providers (for example telephony, messaging and hosting providers). We are not responsible for the availability or conduct of third-party services outside our control.

11. Fees and payment

Where paid services are provided, fees, billing cycle and payment terms are set out in the applicable order form or agreement. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes.

12. Disclaimer of warranties

The Website and our services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation.

13. Limitation of liability

To the fullest extent permitted by law, BAGE AI is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total liability arising out of these Terms is limited to the amount you paid us for the services in the twelve (12) months before the event giving rise to the claim, or USD 100 if you have not paid us anything. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold BAGE AI harmless from claims, damages and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your unlawful use of the services, or your violation of the rights of a third party, including unsolicited communications sent through our services.

15. Term and termination

You may stop using the Website and services at any time. We may suspend or terminate access at any time for breach of these Terms. Sections that by their nature should survive termination (including 7, 12, 13, 14 and 17) will survive.

16. Changes to these Terms

We may update these Terms from time to time. The current version is always published on this page with its date of last update. Continued use after a change means you accept the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The state and federal courts located in Wyoming have exclusive jurisdiction over disputes arising from these Terms, unless mandatory law provides otherwise.

18. General

If a provision of these Terms is held invalid, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. These Terms, together with any written agreement between us, are the entire agreement regarding their subject matter.
